PHP Script Customization Terms Of Service

PHP Script Customization Services

Service Provider: EGNSoftware
Website: https://egnsoftware.com
Effective Date: October 21, 2026

These Terms and Conditions govern all PHP script customization, software development, bug fixing, code modification, compatibility updates, and related technical services provided by EGNSoftware (“we,” “us,” or “our”) to its clients (“you” or “your”).

By requesting a quotation, placing an order, making a payment, or authorizing EGNSoftware to begin work, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

1. Scope of Services

1.1. EGNSoftware provides PHP script customization and related services, which may include:

1.2. The scope of each project will be determined by the accepted quotation, written specifications, email correspondence, or another written agreement between both parties.

1.3. The quoted price covers only the specific tasks and requirements expressly included in the agreed scope.

1.4. Any feature, modification, investigation, or technical requirement not explicitly included in the agreed scope will be considered additional work and may incur additional charges.

1.5. EGNSoftware reserves the right to assess the feasibility, complexity, estimated development time, and cost of any requested work before accepting the request.

2. Pricing and Payment Terms

2.1. Our pricing is determined based on various factors, including development time, technical complexity, expertise, testing requirements, software dependencies, and the resources required to complete the requested work.

2.2. A quotation applies only to the tasks and specifications described in that quotation. It does not automatically cover unrelated issues, additional features, future requests, or modifications outside the agreed scope.

2.3. Full payment is required before work begins. EGNSoftware will commence work only after the full quoted amount has been received and all necessary information, files, and access have been provided, unless otherwise agreed in writing.

2.4. Any additional work requested after a quotation has been accepted will be assessed and quoted separately. Written approval of the additional cost must be obtained before the additional work begins.

2.5. Payments for work already performed are generally non-refundable, except where a refund is required by applicable law or expressly agreed otherwise in writing.

2.6. EGNSoftware reserves the right to suspend or postpone work if the project cannot reasonably proceed due to missing information, access, approvals, or other unresolved issues.

2.7. A reduced price, special offer, or discounted quotation applies only to the work specifically identified in the offer. It does not entitle the client to unlimited additional work, support, or future modifications at the same price.

3. Project Scope and Additional Requests

3.1. Software customization projects may become more complex as new requirements, dependencies, and changes are introduced. Any change to the original specifications may affect the cost, timeline, development process, and testing requirements.

3.2. Requests that may be considered additional work include, but are not limited to:

3.3. Submitting multiple requests together does not automatically make them part of the original project price. EGNSoftware reserves the right to evaluate and quote the requests individually or as a group.

3.4. EGNSoftware is not obligated to perform additional work free of charge merely because the request relates to the same script, project, or existing software application.

3.5. We may recommend prioritizing requests based on urgency, technical dependencies, available resources, and the agreed budget.

3.6. Additional work will commence only after its scope, price, and any relevant timeline have been agreed upon.

4. Revision Policy

4.1. Each customization project includes a maximum of three (3) rounds of revisions, provided that the revisions relate directly to the original agreed specifications.

4.2. A revision means a reasonable adjustment to the delivered work to bring it into alignment with the requirements originally agreed upon by both parties.

4.3. A revision does not include new features, additional functionality, substantial changes to approved requirements, redesigns, or other work that expands the original scope.

4.4. Multiple related changes submitted together as one consolidated list of feedback may be treated as one revision round at EGNSoftware's discretion.

4.5. The three-round revision allowance is not an entitlement to request three rounds of new features or changes to the original project requirements.

4.6. Once all three included revision rounds have been used, any further revisions may incur additional charges.

4.7. Requests that significantly change the original specifications or require substantial additional development may be quoted separately, even if fewer than three revision rounds have been used.

4.8. We encourage clients to review delivered work carefully and submit clear, consolidated feedback to make the revision process more efficient.

5. Bug Fix Warranty

5.1. EGNSoftware provides a 30-day bug fix warranty beginning on the date the customized work is delivered or made available to the client.

5.2. During this period, we will correct reproducible bugs directly caused by our customization work, provided that the reported issues fall within the original agreed scope and the conditions of this warranty.

5.3. The warranty covers corrections to defects in the delivered work. It does not include new features, enhancements, additional customization, or changes to the original requirements.

5.4. The warranty does not cover issues caused by:

5.5. Warranty claims must be reported within the 30-day warranty period and include sufficient information to reproduce and investigate the issue.

5.6. EGNSoftware will reasonably assess each reported issue to determine whether it qualifies for warranty coverage.

5.7. If an issue is determined to be outside the warranty scope, we may provide a separate quotation for investigation, troubleshooting, or resolution.

5.8. The warranty period does not automatically include ongoing maintenance, general technical support, additional development, or future compatibility updates.

5.9. The warranty does not extend automatically because additional features or requests are submitted after delivery. Any extension must be agreed upon in writing.

6. Compatibility Updates and Technical Changes

6.1. Updating PHP, JavaScript libraries, frameworks, database systems, browsers, or other software dependencies may require modifications to existing code and related components.

6.2. Compatibility work is not necessarily limited to replacing a file or installing a newer version. It may require reviewing, modifying, and testing related functions, dynamic menus, user interfaces, database queries, integrations, and other dependent components.

6.3. EGNSoftware will make reasonable efforts to identify compatibility requirements within the agreed scope. However, some issues may only become apparent during implementation or testing.

6.4. Additional changes discovered during the process that fall outside the agreed scope may require a separate quotation and approval before further work proceeds.

6.5. Compatibility with every browser, server environment, third-party service, or future software version cannot be guaranteed unless explicitly included in the agreed scope.

6.6. Future compatibility updates and changes required by new software versions are considered separate work unless expressly included in the original quotation or a maintenance agreement.

7. Testing and Client Verification

7.1. EGNSoftware will perform reasonable testing appropriate to the nature and agreed scope of the work.

7.2. Unless expressly included in the project scope, the quoted price does not include comprehensive testing of every page, feature, workflow, third-party integration, or operating environment across the entire application.

7.3. The client is responsible for reviewing and testing the delivered work in the intended environment and notifying EGNSoftware of any reproducible issues related to the agreed specifications.

7.4. Reports should include sufficient technical information, such as the affected page, steps to reproduce the problem, screenshots, relevant error messages, and applicable browser or server details.

7.5. Testing or troubleshooting beyond the agreed scope may incur additional charges.

8. Browser Developer Tools and Technical Investigation

8.1. Troubleshooting may require reviewing browser console errors, network requests, server logs, database behavior, application code, or other diagnostic information.

8.2. Access to browser Developer Tools, Inspector, console logs, or similar diagnostic information will be requested when reasonably necessary for the agreed work.

8.3. Requests to repeatedly inspect unrelated browser issues, investigate third-party scripts, troubleshoot client-side environments, or diagnose matters outside the agreed scope may be treated as additional support or troubleshooting work.

8.4. The client agrees to provide relevant diagnostic information when reasonably requested and when direct access to the affected environment is unavailable.

8.5. Any additional investigation requiring substantial time or effort may be subject to a separate quotation. We will communicate the applicable cost and obtain approval before proceeding.

9. Client Responsibilities

9.1. The client agrees to provide accurate requirements, timely responses, necessary files, and appropriate access to the relevant development or testing environment.

9.2. The client must have the legal right to provide all software, source code, credentials, data, and other materials supplied to EGNSoftware.

9.3. The client is responsible for maintaining appropriate backups of files and databases before code modifications, deployments, migrations, or other technical changes.

9.4. The client is responsible for reviewing proposed changes, providing necessary information, approving additional costs, and verifying delivered work.

9.5. Delays in providing information, access, approvals, or payments may affect the project timeline. EGNSoftware will not be responsible for delays caused by circumstances reasonably outside our control.

9.6. The client must not request work that violates applicable laws, third-party rights, or relevant software license terms.

10. Delivery and Project Timelines

10.1. Estimated completion dates are provided in good faith based on the information available when the quotation is prepared.

10.2. Project timelines may change if requirements change, additional technical issues are discovered, approvals are delayed, or dependencies require further investigation.

10.3. Urgent or expedited work is subject to availability and may require a separate quotation.

10.4. EGNSoftware will make reasonable efforts to communicate significant changes to the expected completion date.

10.5. The client acknowledges that software development and compatibility work may involve technical uncertainties that cannot always be identified before implementation begins.

11. Ongoing Support and Maintenance

11.1. The fee for a PHP script customization project covers only the work expressly included in the accepted quotation.

11.2. Ongoing support, routine maintenance, future feature modifications, additional development, troubleshooting outside the agreed scope, and compatibility updates are not automatically included in the customization fee.

11.3. Support provided after the applicable 30-day bug fix warranty may be subject to separate charges unless ongoing support or maintenance has been expressly included in a written agreement.

11.4. Requests to investigate unrelated issues, review browser Developer Tools or Inspector output, troubleshoot third-party components, or diagnose problems outside the original project scope may be charged separately.

11.5. Updates to PHP versions, libraries, frameworks, databases, browsers, hosting environments, or other dependencies may require additional development and testing. Such work will be quoted separately unless explicitly included in the original agreement.

11.6. EGNSoftware will communicate the estimated cost of additional support or maintenance and obtain the client's approval before proceeding.

11.7. We value long-term client relationships and will make reasonable efforts to provide assistance. However, continued support does not mean that unlimited development, troubleshooting, or future updates are included in a one-time customization fee.

11.8. Any ongoing support or maintenance arrangement should specify its coverage, duration, applicable fees, and response expectations in writing.

12. Source Code and Intellectual Property

12.1. Ownership and licensing of the original script, existing code, custom-developed code, and other project materials are governed by the applicable software license, purchase agreement, or separate written agreement.

12.2. Performing customization work does not automatically transfer ownership of the original software or third-party intellectual property.

12.3. Third-party libraries, frameworks, plugins, and other components remain subject to their respective licenses and terms.

12.4. Neither party may use, distribute, or disclose materials in violation of applicable intellectual property rights or contractual restrictions.

13. Confidentiality and Security

13.1. Both parties agree to take reasonable measures to protect confidential information exchanged during the project.

13.2. The client should provide only the credentials and access permissions reasonably necessary for the work. Where feasible, temporary or restricted-access credentials should be used.

13.3. EGNSoftware will take reasonable care when handling confidential project information and will not intentionally disclose it to unauthorized parties, except as authorized, required by law, or otherwise permitted under the applicable agreement.

13.4. The client is responsible for maintaining appropriate security measures, backups, access controls, and production safeguards for the software and hosting environment.

14. Limitation of Liability

14.1. To the extent permitted by applicable law, EGNSoftware will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, or data arising from the use of or inability to use the software.

14.2. EGNSoftware is not responsible for failures caused by hosting providers, third-party services, unauthorized modifications, inadequate backups, inaccurate client instructions, or circumstances outside our reasonable control.

14.3. Nothing in these Terms and Conditions excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

14.4. Any additional limitation of liability, including a monetary cap, must be agreed upon in writing and will apply only to the extent permitted by applicable law.

15. Cancellation and Suspension

15.1. Either party may request cancellation of a project in writing.

15.2. If the client cancels after work has commenced, the client remains responsible for agreed charges for work completed and non-cancellable costs properly incurred, subject to applicable law and the agreed payment terms.

15.3. Any refund of prepaid amounts will be determined according to the work completed, the applicable agreement, and applicable law.

15.4. EGNSoftware may suspend or terminate work if the client fails to make required payments, repeatedly requests work outside the agreed scope without approving the associated costs, or engages in unlawful or abusive conduct that materially interferes with the project.

15.5. Where reasonably possible, EGNSoftware will provide written notice and an opportunity to resolve the issue before suspending or terminating the engagement.

16. Changes to These Terms

16.1. EGNSoftware may update these Terms and Conditions from time to time.

16.2. Updated terms will apply to new orders from the stated effective date.

16.3. Material changes to an existing project will not retroactively alter its agreed terms unless both parties agree or applicable law permits otherwise.

16.4. Specific terms agreed upon in a quotation or project agreement will prevail over these general terms to the extent of any direct conflict.

17. Governing Law and Dispute Resolution

17.1. Both parties agree to make reasonable efforts to resolve disputes through good-faith communication and negotiation.

17.2. If a dispute cannot be resolved informally, it will be handled in accordance with the applicable law and dispute-resolution arrangements agreed upon by the parties.

17.3. Any governing law, jurisdiction, or dispute-resolution clause specifically agreed upon in a separate contract will apply to the extent legally enforceable.

18. Acceptance of Terms

By requesting or accepting a quotation, placing an order, making a payment, or authorizing EGNSoftware to begin work, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions as applicable to the project.

The client is responsible for clarifying any questions regarding the quotation, project scope, revision policy, warranty coverage, or additional charges before authorizing work.
